Taking the minutes at board meetings is a legal requirement in the UK. Directors can be held criminally liable for non-compliance. The Companies Act 0f 2006 mandates that accurate minutes of the meetings should be kept on file for 10 years. Board minutes record the decisions of a company board meeting. They accurately record decisions proposed and passed by the board.
A Board Resolutions document is a written record of an action or decision made by a company's board of directors. The resolution can be created with or without a formal meeting of directors. The board of directors make key operational decisions for the company, except for those which may be reserved for the shareholders (owners). In small companies, the directors and the shareholders may essentially be the same people.

This is similar to a non-disclosure agreement and is used when negotiations start between parties. If the time has come to end a contract, it might be an idea to do so in writing, as such this agreement would introduce clarity e.g. confirming the termination date together with any other matters the parties wish to deal with in an orderly fashion. If straightforward, you could use the letter template but if there are post-termination matters to deal with such as return of property or a payment run off, it might be better to use this Termination Agreement. The agreement needs to be signed by someone appropriately authorised.
Circumstances sometimes change and the original purpose or requirements of a contract may change. If so, and if the changes are not wholesale, it might be an idea to reflect these by amending or varying the original contract instead of writing a new whole new one.
